CORPORATE LAW/MERGERS AND ACQUISITIONS



BMH intervenes on behalf of French and foreign companies (German) and their subsidiaries (SME and large groups) of varied size and sector activity (chemicals, luxury goods, media, agriculture and food, health, metallurgy, industrial equipment, and engine manufacturing).

BMH represents the interests of buyers or sellers wishing to acquire or sell strategic or unprofitable activities.

BMH advises clients on the transfer or acquisition of companies in a given branch of activity or market, on the choice of the appropriate operation, while taking into account its tax and corporate consequences.

BMH participates in statutory audits (contracts, trademarks, patents), and advises companies on prior administrative procedures (declaration, notification, authorization).

BMH analyses the legal and fiscal impacts of buy-back by the company's top management.

BMH collaborates with specialized engineers in anticipation of the drawing up of warranty clauses on environmental liabilities.

BMH formalises preliminary agreements, in the form of letters of intention, simple non-disclosure or exclusive dealing agreements.
